1. TERMS OF SERVICE

1.1 Purpose

These Terms set out the conditions of use of the XCONDA AI video production platform and related services (the "Service") provided by Cubeberry Co., Ltd. (the "Company"), and the rights, obligations, and responsibilities between the Company and its members.

1.2 Definitions

• 1.2.1 "Member" means a person who agrees to these Terms, creates an account, and uses the Service.
• 1.2.2 "Credit" means the unit of use deducted when AI generation features in the Service are used. Credits have no cash value and may not be transferred or sold.
• 1.2.3 "Subscription" means a paid plan that is billed automatically every month and grants monthly credits at the time of payment.
• 1.2.4 "Credit Pack" means a product that grants a fixed amount of credits for a single payment. It does not renew automatically.
• 1.2.5 "Rollover" means carrying unused subscription credits over to the next billing cycle.

1.3 Effect and Changes of Terms

• 1.3.1 These Terms take effect when posted on the Service screen or otherwise notified to Members.
• 1.3.2 The Company may change these Terms within the scope permitted by applicable law, and will give notice 7 days before the effective date (30 days before for changes unfavorable to Members).
• 1.3.3 If a Member continues to use the Service after the effective date of the changed Terms, the Member is deemed to have agreed to them.

1.4 Formation of the Agreement

• 1.4.1 Only persons aged 18 or older may use the Service.
• 1.4.2 Members must create an account with accurate and current information and are responsible for managing their account information.
• 1.4.3 A Member who becomes aware of unauthorized use of their account must notify the Company immediately.
• 1.4.4 The Company may suspend or terminate an account created with false or fraudulent information.

1.5 Member Obligations

Members must not:

• Use the Service for any purpose that violates law
• Upload or generate content that infringes the intellectual property of others
• Reverse engineer, decompile, or attempt to hack the Service
• Generate harmful, offensive, or inappropriate content
• Share account information with others
• Access the Service by automated means without the Company's written permission

1.6 Service Description and Changes

• 1.6.1 The Company provides credit-based AI video and image generation tools and related features.
• 1.6.2 The Company may change or suspend all or part of the Service as operationally or technically necessary, and will give prior notice of material changes.

1.7 Paid Services and Fees

⑤ The Company may change prices and will give notice 30 days before the effective date. Prices before the change apply to payments already made.

1.8 Payment Methods and Payment Processing

• 1.8.1 Subscriptions are billed automatically to your registered payment method on each monthly billing date.
• 1.8.2 Credit packs are one-time payments and do not renew automatically.
• 1.8.3 Payments in Korea are charged in Korean won (₩) with 10% VAT included. International payments are charged in US dollars ($) without VAT.
• 1.8.4 Payments are processed through PortOne by payment processors such as Toss Payments, KakaoPay, and Eximbay. The Company does not directly store Members' card information.

1.9 Credit Grants and Validity

• 1.9.1 Subscription credits are granted at the time of each payment.
• 1.9.2 Unused subscription credits roll over to the next billing cycle and are valid for up to 1 year from the grant date.
• 1.9.3 Credit pack credits are granted upon payment completion and are valid for 1 year from the payment date.
• 1.9.4 Credits past their validity period expire automatically.
• 1.9.5 Credits are deducted in order of the earliest expiration date.

1.10 Subscription Upgrade

• 1.10.1 On upgrade, the full amount of the new plan is charged.
• 1.10.2 Existing remaining credits roll over as is, and the full credits of the new plan are granted.
• 1.10.3 The upgrade date becomes the new billing date, and the next billing date is one month after the upgrade date.

1.11 Subscription Downgrade

• 1.11.1 A downgrade does not take effect immediately; the lower plan applies from the next billing date.
• 1.11.2 The price difference for the current billing cycle is not refunded.

1.12 Subscription Cancellation

• 1.12.1 Members may cancel a subscription at any time. Upon cancellation, recurring payments stop from the next billing date.
• 1.12.2 Payments already made are not refunded on a pro-rata basis.
• 1.12.3 After cancellation, remaining subscription credits can be used for up to 1 year from the grant date and expire thereafter.

1.13 Withdrawal and Refunds

• 1.13.1 A Member may request a full refund if within 7 days of payment and no credits granted by that payment have been used.
• 1.13.2 No refund is available if any credits granted by that payment have been used. The Company discloses this before payment and obtains the Member's agreement.
• 1.13.3 Refund criteria by payment type, refund procedures, and processing times follow the Refund Policy.
• 1.13.4 Upon refund, only the credits granted by that payment are revoked; previously rolled-over credits are kept.

1.14 Service Outages and Generation Failures

Credits deducted due to a service outage or generation failure are restored automatically and are not eligible for payment refunds.

1.15 Intellectual Property

• 1.15.1 Rights in the Service and in the software, technology, and content provided by the Company belong to the Company.
• 1.15.2 Ownership of content a Member generates using the Service belongs to the Member.
• 1.15.3 The Member grants the Company a non-exclusive license to use Member content within the scope of providing and improving the Service.

1.16 Restriction of Use and Termination

• 1.16.1 Members may withdraw at any time through account settings.
• 1.16.2 The Company may restrict use of the Service or terminate an account if a Member violates these Terms.
• 1.16.3 Upon withdrawal or termination, unused credits are forfeited.

1.17 Disclaimer

• 1.17.1 The Service is provided "as is," and to the maximum extent permitted by law, the Company makes no warranty regarding fitness for a particular purpose or otherwise.
• 1.17.2 To the maximum extent permitted by law, the Company is not liable for indirect, incidental, special, or consequential damages.

1.18 Governing Law and Dispute Resolution

• 1.18.1 These Terms are governed by the laws of the Republic of Korea.
• 1.18.2 Disputes relating to use of the Service shall be resolved by mutual consultation. If no agreement is reached, they shall be brought before the competent court under the Civil Procedure Act.
